Terms of Service

1. Acceptance
By creating a Brainiac account or using any part of the Brainiac platform, website, browser extensions, or APIs (collectively the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and the Privacy Policy. If you do not agree, do not use the Service. The Service is operated by Dwight Street Group LLC (“Brainiac,” “we,” “us”).
2. Who may use Brainiac
The Service is invite-only during the current beta. Accounts are provisioned by Brainiac, and access is scoped to the specific role (e.g., investor, expert, staff) associated with your invitation. You may not share your account, attempt to elevate your role outside the in-product request flow, or sign in with an email address you do not control.
3. Acceptable use
You agree not to (a) use the Service to violate any law or third-party right, (b) reverse-engineer, decompile, or attempt to derive source code from the Service, (c) upload data you do not have the rights to share, (d) probe, scan, or test the vulnerability of the Service, or (e) circumvent access controls, rate limits, or compliance reviews.
4. Data extraction & scraping
Except as expressly permitted by the Service’s user interface or an authenticated API that Brainiac provides to you in writing, you may not (a) extract, copy, scrape, harvest, mirror, index, or download any expert profile, search result, contact datum, call transcript, insight, document, or other content from the Service, (b) use automated means (bots, crawlers, headless browsers, screen-scrapers) to collect data from the Service, (c) use the Service to train, fine-tune, or evaluate any model, embedding, or derived dataset intended for redistribution, or (d) resell, sublicense, or otherwise transfer data obtained from the Service to any third party. Violating this section is a material breach and we may terminate access and pursue remedies available at law or equity.
5. Content & rights Brainiac retains
You retain ownership of the queries, case materials, uploads, and notes you submit (“Customer Content”). You grant Brainiac a worldwide, royalty-free, sublicensable license to host, process, transmit, display, and create derivative works of Customer Content solely as necessary to provide and improve the Service.
Experts who register on Brainiac grant Brainiac a perpetual, irrevocable, royalty-free, worldwide, sublicensable license to store, use, reproduce, modify, combine with other data, display, and distribute expert-submitted profile information, biographical data, employment history, credentials, responses, and call transcripts for the purpose of (i) operating the Service, (ii) matching experts to investor queries, (iii) training and evaluating proprietary models and indices, and (iv) building derived aggregate data products that do not identify the expert individually. Experts may request removal of their personal profile at any time by emailing hello@trybrainiac.com; removal does not retroactively extinguish rights already granted in aggregated or anonymized data derived prior to the removal request.
Queries, search results, rankings, scores, agent traces, and all platform telemetry are owned by Brainiac and may be used for product improvement, analytics, training, research, and the creation of future data products. Usage-level data is de-identified before use outside operations of your account.
6. Experts & payments
Experts on Brainiac are independent contractors, not employees of Brainiac. Call compensation and platform fees, when enabled for your account, are processed by Stripe under its Connected Accounts terms. Brainiac is not responsible for the content, accuracy, or professional conduct of any expert, though we screen experts through compliance review and reserve the right to remove any user.
7. Confidentiality & compliance
You agree to handle information received through the Service consistently with any applicable confidentiality obligations, including public-company materiality rules, insider-trading restrictions, and professional licensing requirements. Brainiac’s compliance module may flag, hold, or block an expert engagement; a flag or block is not legal advice and you remain responsible for your own compliance.
8. Third-party services
The Service integrates Anthropic (Claude), Google (OAuth, Calendar, Custom Search), Serper, Apollo, People Data Labs, Neon, Vercel, and Stripe, each governed by its own terms. We may add or change sub-processors; the current list is maintained in the Privacy Policy.
9. No warranty
The Service is provided “as is” and “as available”. Search results are AI-generated and may be inaccurate, incomplete, or fabricated; you are responsible for independent verification before taking any action. To the maximum extent permitted by law, Brainiac disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Brainiac’s aggregate liability for all claims arising from or related to the Service will not exceed the greater of (a) fees you paid us in the twelve months preceding the claim or (b) US$100. Brainiac is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless Dwight Street Group LLC and its officers, directors, employees, and agents from any third-party claim arising out of (a) your Customer Content, (b) your breach of these Terms, or (c) your misuse of data obtained through the Service.
12. Termination
We may suspend or remove your account at any time, with or without notice, for any breach of these Terms or to protect the Service. You may delete your account by emailing hello@trybrainiac.com. Sections 4, 5, 9, 10, 11, 13, and 14 survive termination.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in New Castle County, Delaware. Each party consents to personal jurisdiction in those courts and waives any right to a jury trial where permitted.
14. Changes
We may update these Terms. Material changes will be announced in-app or by email before they take effect. Continued use of the Service after the effective date constitutes acceptance.
